Florida LLC annual report: due date, fee, and the $400 late fee

Florida LLCs file one annual report on Sunbiz between January 1 and May 1. Here is who files, what it costs, what happens after May 1, and how to stay active.

This guide is general compliance education. It is not legal, tax, or accounting advice. Confirm deadlines and fees with the Florida Division of Corporations before you file. Startup To Corporate does not file Florida annual reports and does not act as your registered agent.

Steps at a glance

  1. Confirm your first report year. It's the calendar year after your LLC's articles became effective.
  2. Find your document number. It's on your Sunbiz notice, or search Sunbiz records by name.
  3. File between January 1 and May 1. Use the Sunbiz annual report e-file page.
  4. Pay $138.75 and save the receipt.
  5. Set a reminder for next January.

Who must file

Florida's rule is in Florida Statutes § 605.0212: "A limited liability company or a registered foreign limited liability company shall deliver to the department for filing an annual report."

That covers:

  • Florida LLCs formed with articles of organization
  • Foreign LLCs (formed in another state) that are registered to do business in Florida

Florida corporations file an annual report too, on the same January 1 to May 1 schedule, but their fee is different: $150 for a profit corporation. If you own both an LLC and a corporation, budget for two separate filings.

Sunbiz says the report "is required, whether or not you need to make changes." If nothing changed, you still file. The report confirms Sunbiz's records. Sunbiz notes that it "is not a financial statement," and it isn't a tax return either.

If your business has closed, Sunbiz says you don't need to file the annual report. File a dissolution or withdrawal instead.

When it's due

Florida uses one statewide window, not an anniversary date like Utah or some other states:

  • Opens: January 1
  • Due: May 1
  • Every year, starting with the calendar year after formation

The statute says the first report "must be delivered to the department between January 1 and May 1 of the year following the calendar year in which the limited liability company's articles of organization became effective." For a foreign LLC, the clock starts in the year it got its certificate of authority to do business in Florida.

Worked examples (illustrative)

Articles effectiveFirst annual report windowThen
March 4, 2026January 1 – May 1, 2027Every January 1 – May 1 after that
December 29, 2026January 1 – May 1, 2027Same
January 5, 2027January 1 – May 1, 2028Same

No report is due in the year you form. A late-December LLC owes its first report within months, while an early-January LLC has well over a year.

For the 2026 season, Sunbiz's notice said filings had "until 11:59 PM EST on Friday May 1, 2026, before a $400 late fee is assessed." Check the Sunbiz page for the exact cutoff each year.

Fee, late fee, and what happens if you miss it

These are the amounts Sunbiz publishes. Confirm them in the cart before you pay.

FilingFee (Sunbiz fee schedule)
LLC annual report (with supplemental fee)$138.75
LLC annual report received after May 1$538.75 ($138.75 + $400 late fee)
Amended LLC annual report (after you've already filed this year)$50.00
Profit corporation annual report$150.00

After May 1: the $400 late fee

Sunbiz: "A $400 late fee will be imposed on all profit corporations, limited liability companies, limited partnerships and limited liability limited partnerships." (Nonprofit corporations are exempt from the late fee.) If you pay by check, Sunbiz says the voucher and payment "must be postmarked and mailed on or before May 1 to avoid a late fee."

September: administrative dissolution

Sunbiz: "If you do not file an annual report by the third Friday of September, your business entity will be administratively dissolved or revoked in our records at the close of business on the fourth Friday of September." For 2026, Sunbiz listed September 18 as the last day to pay by check and 5:00 PM EST, September 25, 2026 as the card deadline.

A dissolved LLC can be reinstated, but Sunbiz requires a reinstatement application and payment of "all associated fees (the reinstatement fee + annual report fees due)." The statute adds that a non-filing LLC "may not maintain or defend any action in a court of this state until the report is filed." To check where you stand, see Certificate of good standing.

How to file (official portal only)

  1. Go to the Sunbiz File Annual Report page and open the current year's filing link.
  2. Enter your document number. If you don't have it, search Sunbiz records by your LLC's name.
  3. Review the information already on the form. Sunbiz shows "the most current data on file."
  4. Update anything that changed. Sunbiz lets you change managers and authorized members, the registered agent and registered office, the principal and mailing addresses, and the FEIN.
  5. Sign by typing your name. Sunbiz says typing someone else's name without permission is forgery.
  6. Pay by credit or debit card (or a prepaid Sunbiz E-File Account). You can also pay by check or money order with the printed voucher.
  7. Save the confirmation email and receipt. Card filings "are processed and posted immediately."

What the report can't do: it can't change your LLC's name. That takes a separate amendment. Everything you submit becomes public record, so use a business address where you can.

The statute lists what the report must contain: the LLC name, principal office and mailing addresses, date of organization, FEIN (or whether one was applied for), and at least one person with authority to manage the company. Have these ready, along with your registered agent details.

Florida-specific gotchas

  • Sunbiz assesses the $400 late fee on reports filed after 11:59 PM EST on May 1. Filing on May 2 costs $538.75 instead of $138.75.
  • Your first report comes the year after formation. LLCs formed in late December owe one within months.
  • Corporations pay $150, not $138.75.
  • Made a mistake on a report you already filed? File an amended annual report ($50 for an LLC), not a second original.

Checklist

Before January 1

  • Confirm the year your first report is due (the year after formation)
  • Find your document number and confirm the email address on file (Sunbiz emails the filing confirmation there)
  • Gather addresses, manager or member names, registered agent, and FEIN

January 1 – May 1

  • File on dos.fl.gov / Sunbiz only
  • Update any changed managers, addresses, or agent
  • Pay $138.75 (LLC) or $150 (corporation)
  • Save the receipt and the filed-report image (free to download once posted)

If you missed May 1

  • File right away with the $400 late fee included, before the third Friday in September

Calendar tip: Set a reminder for the first week of January, not the end of April. Florida's window is four months long, so there's no reason to file in the late-April rush.

The bottom line
